Biogen Idec is committed to conducting business ethically and with integrity. We believe sound corporate governance practices are critical to our growth and success as a company, as well as to maintaining the trust and confidence of our stakeholders.

Responsibility for our performance begins with our Board of Directors, which is composed of 12 directors, all of whom (other than our CEO, George A. Scangos) meet the independence requirements of the NASDAQ Stock Market. The board’s Corporate Governance Committee sets the governance framework for the company in our Corporate Governance Principles.

Additionally, every employee must comply with our Code of Business Conduct, which guides decision making throughout the organization. In 2010, we updated our code to include additional guidance on critical issues, such as workplace health and safety, responsible marketing and clinical research. We required employees to attend trainings to help them understand the new components.

Biogen Idec also introduced a number of policies, including a new Anti-Bribery and Anti-Corruption Policy. As part of our Anti-Bribery and Anti-Corruption Policy, we introduced standardized global operating procedures focused on grants and donations, sponsorships, fees for services and hospitality, and we coordinated related trainings for our employees.
